Bayer Locks in Perfuse Therapeutics Deal, Bolstering Ophthalmology Pipeline With New Glaucoma and DR CandidateBayer has confirmed it has finalised its acquisition of US biopharmaceutical company Perfuse Therapeutics, handing the German pharma giant full rights to an experimental treatment for glaucoma and diabetic retinopathy (DR) that is currently working its way through Phase II trials.

The deal, announced on 17 June, brings Perfuse's lead asset PER-001 into Bayer's growing ophthalmology portfolio. PER-001 is an intravitreal implant designed for sustained release, and is described as a first-in-class small molecule endothelin receptor antagonist, a drug class that has attracted increasing interest in eye disease research for its potential to address the vascular and ischemic mechanisms underlying conditions such as glaucoma and DR.

For practitioners watching the pipeline of next-generation ocular therapies, the acquisition is a signal that major pharmaceutical players continue to see ischemia-related eye disease as fertile ground for new drug development, particularly where existing treatments leave gaps in long-term disease control.

Bayer said the move builds on its existing strengths in eye care and fits squarely within its broader pharmaceutical strategy. The company already has a presence in ophthalmology through other therapies, and the addition of Perfuse's pipeline is positioned as a way to deepen that footprint rather than establish a new one from scratch.

Financially, the transaction was structured with an upfront payment of USD 300 million, with the total deal value potentially reaching USD 2.45 billion once success-based milestone payments are factored in, a structure common in biotech acquisitions where much of the value is contingent on clinical and regulatory progress.

BofA Securities advised Bayer on the financial side of the transaction, with Baker McKenzie providing legal counsel. Perfuse was advised by Centerview Partners LLC, with Goodwin Procter LLP acting as legal counsel.
